U.S. National Security Laws and Regulations (CFIUS and NISPOM)

 

ITTA has extensive experience in assisting with the U.S. national security aspects of acquisitions, mergers, joint ventures and other business arrangements involving foreign ownership of a U.S. company. Companies must comply with U.S. national security laws/regulations when there is foreign ownership, control, or interest in U.S.-based companies doing business with the Department of Defense, Department of Energy or other U.S. national security agencies.

 

ITTA assists companies in understanding and conforming with the requirements of the Committee on Foreign Investment in the United States (CFIUS), which was established by the Exon-Florio Amendment of 1988. ITTA also supports companies in complying with the National Industrial Security Program Operating Manual (NISPOM) established by the U.S. Department of Defense. Finally, ITTA assists companies with the export control obligations undertaken after CFIUS and/or NISPOM requirements have been met.

 

The Committee on Foreign Investment in the United States 

ITTA has assisted clients in successful CFIUS reviews five times in the previous two years.  ITTA can:

  • Educate company officials on the requirements and implications of CFIUS

  • Develop and coordinate overall strategy for CFIUS process

  • Compile and prepare CFIUS filings in coordination with law firms as appropriate

  • Serve as company liaison to CFIUS and individual agencies such as DOD or the Department of Energy

  • Ensure all necessary information is prepared and made available to CFIUS, DOD or other US government agencies

Department of Defense - National Industrial Security Requirements

ITTA has extensive experience in assisting clients in understanding and complying with the NISPOM requirements of the Defense Security Service of the Department of Defense.  ITTA can: 

  • Educate company officials on the requirements and implications of NISPOM

  • Assist companies in developing foreign ownership mitigation measures to satisfy U.S. government (Departments of Defense, Energy etc.) requirements

  • Advise companies on the development of physical security arrangements for offices and other facilities to protect classified or sensitive information
